 Terms of Service (TOS) FOR ALL N-1 STAT COMPLIANCE.TERMS OF SERVICE — MEDICAL COURIER Effective Date: 10/01/2025

These Terms of Service (“Terms”) govern the use of medical courier services provided by ALL N-1 STAT COMPLIANCE. (“Company,” “we,” or “us”) to any customer (“Client,” “you”). By using our Services, you agree to be bound by these Terms.

1. Scope of Services 

The Company provides professional medical courier services, including:

• Pick-up and delivery of medical specimens, biological materials, pharmaceuticals, lab samples, medical equipment, hazardous and medical records and many more
• Scheduled route deliveries and on-demand service
• Temperature-controlled transport when expressly arranged in writing

The Company does not provide laboratory testing, medical interpretation, or clinical advice.

2. Compliance With Laws 

The Company complies with all required laws and industry standards, including:

• HIPAA (Protected Health Information handling)
• OSHA (biological and safety protocols)
• DOT and IATA (hazardous and biological material transport)
• Applicable state and local health regulations

The Client is responsible for ensuring materials are packaged, labeled, and disclosed in compliance with all applicable regulations.

3. Client Responsibilities

 The Client agrees to: 

A. Proper Packaging & Labeling Provide all items in sealed, compliant packaging.

B. Accurate Information Provide correct pickup and delivery details, contact information, and handling instructions.

C. Hazard Disclosure Inform the Company of any biological, infectious, hazardous, or temperature-sensitive materials before pickup.

D. Personnel Availability Ensure authorized individuals are present at pickup and delivery locations. Improper packaging or inaccurate instructions may result in service refusal, delays, or additional charges.

4. Chain of Custody

 The Company maintains appropriate chain-of-custody documentation, including:

• Signatures if needed
• Pickup/delivery 
• GPS tracking if needed
• Temperature logs (when included in service contract)

The Company does not guarantee specimen viability outside agreed-upon procedures.

5. Delivery Timeframes 

Delivery times are estimates unless guaranteed in a separate written agreement.
The Company is not responsible for delays caused by:

• Traffic or weather
• Inaccurate addresses
• Client unavailability
• Improper packaging
• Equipment failures outside the Company’s control
• Factors considered “force majeure”

6. Fees and Payment Terms

1. Services are billed according to our current rate schedule unless a contract states otherwise.
2. Payment is due within 1 day of invoice date.
3. Late payments may incur a 15% monthly late charge.
4. Additional fees may apply for:
   • STAT or after-hours deliveries
   • Wait time
   • Re-delivery attempts
   • Temperature-controlled or specialized transport
   • Improperly packaged materials requiring correction

   7. Limitation of Liability 

   To the fullest extent permitted by law:

   A. Limited Liability The Company is not liable for lost, damaged, or compromised items unless caused by gross negligence or willful misconduct. 

   B. Maximum Liability In no event shall the Company’s liability exceed the lesser of:

• The documented replacement value of the item; or
• $100 per shipment.

C. Exclusions The Company is not liable for:

• Lost profits, lost revenue, or business interruption
• Invalid specimen test results
• Damage caused by improper packaging or inaccurate instructions
• Consequential or indirect damages

D. Temperature Disclaimer The Client is responsible for using proper coolers, dry ice, gel packs, or temperature-stable containers unless the Company provides these under a written agreement.

8. Insurance The Company maintains appropriate insurance, including:

• General liability
• Auto insurance
• Proof of insurance is available upon written request.
• Each driver can 

9. HIPAA & Confidentiality The Company:

• Protects all Protected Health Information (PHI) in compliance with HIPAA
• Trains couriers in confidentiality and secure handling
• Reports suspected PHI breaches to the Client promptly

A separate Business Associate Agreement (BAA) may be executed where required.

10. Safety & Courier Conduct All couriers:

• Receive training in specimen and medical material handling
• Follow OSHA and DOT guidelines
• Use appropriate PPE
• Do not open packages unless required for safety or legal reasons
• Handle materials with professional care

11. Right to Refuse Service The Company may refuse or discontinue a pickup or delivery if:

• Items are unsafe, leaking, improperly packaged, or unlabeled
• The Client violates these Terms or applicable regulations
• Conditions at the site pose safety risks
• The materials are illegal or undisclosed hazards

12. Termination Either party may terminate service with 2 days written notice.
The Company may terminate immediately if:

• The Client fails to pay invoices
• The Client violates regulations or these Terms
• Unsafe or illegal materials are provided

13. Governing Law These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict-of-law principles.

14. Amendments The Company may update these Terms at any time.
Continued use of Services means the Client accepts the updated Terms.

15. Entire Agreement These Terms, along with any executed contracts, pricing schedules, and Business Associate Agreements (BAAs), constitute the entire agreement between the Company and the Client regarding courier services.
